Lunch Money’s Coaching Terms

These Coaching Terms ("Coaching Terms" or "Agreement") are entered into by and between you and Lunchbag Labs Inc. ("we," or "us"). This Agreement, together with our Privacy Policy ("Privacy Policy") and Terms of Service ("Terms of Service"), govern your participation in our coaching program ("Coaching Program"). Our Privacy Policy and Terms of Service, which are featured on our website, are incorporated into this Agreement by reference.

BY APPLYING TO BECOME PART OF OR PARTICIPATING IN OUR COACHING PROGRAM, YOU ACCEPT THESE COACHING TERMS AND AGREE TO BE BOUND AND COMPLY WITH THIS AGREEMENT AND ALL OTHER TERMS AND POLICIES INCORPORATED HEREIN BY REFERENCE. YOU MAY NOT PARTICIPATE IN OUR COACHING PROGRAM OR HOLD YOURSELF OUT AS PARTICIPATING IN OUR COACHING PROGRAM IF YOU (A) DO NOT AGREE TO THESE COACHING TERMS, OUR PRIVACY POLICY OR OUR TERMS OF SERVICE, (B) ARE NOT AT LEAST 18 YEARS OF AGE, OR (C) ARE PROHIBITED FROM PARTICIPATING IN OUR COACHING PROGRAM, OR ANY RELATED SERVICE, BY APPLICABLE LAW.

Becoming a Coach

To become a Lunch Money Certified Coach™ (a "Certified Coach"), you must participate in and successfully complete our training program ("Training Program"), which is further described on the "Become a Lunch Money Certified Coach" page on our website (https://lunchmoney.app/financial-coaching, referred to as the "Coaching Page" herein). You must also pay the fees associated with our Coaching Program.

By successfully completing our Coaching Program, you will receive the benefits of being Certified Coach (subject to your continued compliance with these terms), which include:

  1. Receiving a Certified Coach certificate
  2. Access to training and Resources (defined below) provided through our Coaching Program
  3. Permission to use the Certified Coach Marks and communicate that you are a Certified Coach to others

Your acceptance into our Training Program, successful completion of the Training Program, use of our Certified Coach Marks and your continued operation as a Certified Coach is determined in our sole discretion.

Further details of the benefits and requirements associated with being a Certified Coach are detailed on our Coaching Page, and we may (from time to time) communicate additional benefits and requirements directly to you.

Payment

To participate in the Coaching Program, become a Certified Coach, use the Certified Coach Marks and maintain your compliance with these Coaching Terms, you must pay the fees associated with our Coaching Program and any additional maintenance fees associated with maintaining your registration as a Certified Coach.

You will be charged an enrollment fee ("Enrollment Fee") to participate in our Coaching Program, which will be communicated to you before you begin our Coaching Program. Additionally, we may charge ongoing membership fees to maintain your status as a Certified Coach (the "Membership Fees").

The Enrollment Fee must be paid before you begin the Coaching Program, and we reserve the right to adjust the Enrollment Fee and the Membership Fees periodically.

If you participate in our Coaching Program but fail to successfully complete it, you will not be eligible for a refund of the Enrollment Fee; however, you will not be responsible for any Membership fees unless and until you successfully complete the Coaching Program.

Additionally, if you fail to successfully complete our Coaching Program, you may participate in future Coaching Program cohorts for up to a year after your initial enrollment in our Coaching Program (the "Re-enrollment Period") without having to pay an additional Enrollment Fee, provided that you are permitted to re-enroll in our Coaching Program and do so during the Re-enrollment Period. After the Re-enrollment Period ends, you will be required to pay an additional Enrollment Fee to participate in future cohorts of the Coaching Program.

Unless you successfully complete the Coaching Program and become a Certified Coach, you may not use the Certified Coach Marks or hold yourself out as being a Certified Coach.

Being A Responsible Coach

As a Certified Coach, you must behave ethically and responsibly (in addition to complying with applicable law). Accordingly, you may not use your participation in our Training Program or act as a Certified Coach:

  1. In a way that violates any applicable laws or regulations.
  2. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letters”, "spam", or any other similar solicitation, to any of our customers or users of the services we offer to others.
  3. To provide or contribute any false, inaccurate, fraudulent, illegal or misleading information

You are solely responsible for the information you collect when acting as a Certified Coach or participating in our training Program. Additionally, we may make certain communication channels available to you, where you have the opportunity to communicate with people interested in the services you provide as a Certified Coach or as a participant in our Training Program. If we make these channels available to you, you must comply with the limits we impose on these channels and you may not solicit our customers through other means.

Additionally, our trademarks, including the name “Lunchbag Labs”, “Lunch Money” and our smiling coin logo, are trademarks of ours. You may not use our trademarks without our prior written consent, nor may you use the names, logos, designs, slogans, or any other sign used as a trademark of ours, our affiliates or our licensors, without the necessary permission to do so.

The phrase "Lunch Money Certified Coach" and any related badges or icons (our "Certified Coach Marks") are also trademarks of ours, but we grant you limited, non-transferable, revocable permission to use the Certified Coach Marks when referring to yourself as a “Lunch Money Certified Coach”. When you use our Certified Coach Marks, you must also display the following text prominently wherever you use the Certified Coach Marks (but you may hyperlink to this disclaimer where space is limited):

As a Lunch Money Certified Coach, I have successfully completed the Lunch Money Coaching Program, meaning I am trained to coach people on how to use the Lunch Money platform. Lunch Money Certified Coach is a trademark of Lunchbag Labs Inc., used under license, and all information and opinions expressed as a Lunch Money Certified Coach are my own.

You may not state or imply that you are an employee of ours or acting on behalf of us. We own and will retain all right, title, and interest in and to the Certified Coach Marks; and all use by you of the Certified Coach Marks under this Agreement, and all goodwill accruing therefrom, will enure solely to our benefit. All other rights not explicitly granted to you in Coaching Terms are expressly reserved by us, and you may not use the Certified Coach Marks except as expressly permitted in these Coaching Terms.

From time to time, we may also add parameters on your use of the Certified Coach Marks and your continued operation as a Certified Coach. You agree that you will comply with all such terms and any future updates to them.

Termination

We may terminate your use of the Certified Coach Marks, participation in our Training Program and your status as a Certified Coach if you breach these Coaching Terms, any of the terms associated with our Terms of Service or Privacy Policy, or act in any way that we determine (in our sole discretion) is inconsistent with our business, our brand, or our values. Upon termination, you must immediately cease using the Certified Coach Marks and communicating any association with our Training Program or being a Certified Coach. No refunds will be issued if we terminate your use of the Certified Coach Marks, participation in our Training Program or your status as a Certified Coach.

Additionally, we may also terminate these Coaching Terms, and any or all of the rights, benefits and services associated with them, if we determine our Certified Coach program no longer aligns with our business goals.

Resources Provided & Disclaimers

During the Training Program or while you are a Certified Coach, we may make reference to third party websites, direct you to resources on third-party websites and provide training and coaching materials to you (collectively, the "Resources"). We make no representations, warranties, or guarantees of any kind with respect to such Resources, and expressly disclaims any liability for your use of the Resources. You further agree that you will abide by any and all terms and conditions associated with any such Resources.

YOU ARE RESPONSIBLE FOR YOUR OWN ACTIONS AS A CERTIFIED COACH. WE EXPRESSLY DISCLAIM ANY WARRANTIES RELATED TO ANY AND ALL ACTIONS YOU TAKE AS A CERTIFIED COACH. WE PROVIDE THE TRAINING PROGRAM AND RESOURCES ON AN “AS IS” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER WE NOR ANY PERSON ASSOCIATED WITH US MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE TRAINING PROGRAM OR THE RESOURCES.

WE DO NOT REPRESENT OR WARRANT THAT YOUR PARTICIPATION IN THE TRAINING PROGRAM OR USE OF THE CERTIFIED COACH MARKS WILL BENEFIT YOU OR ANY ASSOCIATED BUSINESS. ADDITIONALLY, BECOMING A CERTIFIED COACH DOES NOT CONFER ANY PROFESSIONAL STATUS OR PROFESSIONAL LICENSES TO YOU, NOR MAY YOU HOLD YOURSELF OUT AS A FINANCIAL PROFESSIONAL ON THE BASIS OF BEING A CERTIFIED COACH.

Notwithstanding the foregoing, nothing in this section limits any representations or warranties required by applicable law.

Publication of Certified Coaches

We may publish a list of all Certified Coaches, which may include personal information about you. You hereby agree that we may use the information you provide to us when we publish information about our Certified Coaches. All such disclosures will be made in accordance with these Coaching Terms and our Privacy Policy, and you may opt-out of such disclosures at any time. To opt-out, please contact us using the contact information described in our Privacy Policy.

Miscellaneous

To the extent there is a conflict between these Terms and our Terms of Service, these Terms will control with respect to:

  1. Use of our Certified Coach Marks
  2. Payment of fees relating to the Coaching Program, including (but not limited to) payment of any Enrollment Fees or Membership Fees

As further described in our Terms of Service, these Coaching Terms are governed by the laws of the Province of Ontario (and the laws of Canada applicable therein), which will be the exclusive forum for resolving any disputes between us and you.

Updates to These Terms

We may update these Coaching Terms (in our sole discretion) periodically, so we encourage you to check for updates. All revisions become effective immediately at the time we post them, unless we state otherwise. Your continued use of the Resources, Training Program or Certified Coach Marks after such updated Coaching Terms come into force means you accept and agree to the changes, and you will be bound by such updated Coaching Terms going forward if you continue participating in our Coaching Program, using our Certified Coach Marks or holding yourself out as a Certified Coach.
